Job Title: Remote Corporate Lawyer (U.S.-Based) Company: The Heart Institute of Venice Location: Remote (USA) About the Role At The Heart Institute of Venice We are seeking an experienced and highly skilled Corporate Lawyer to join our organization in a remote capacity. The ideal candidate will have a strong background in U.S. corporate law, exceptional analytical skills, and the ability to provide strategic legal guidance on a wide range of business matters. This role requires excellent communication, professionalism, and the ability to work independently while supporting leadership teams across various departments. Key Responsibilities β€’ Provide legal counsel on corporate governance, compliance, and regulatory matters. β€’ Draft, review, and negotiate a wide range of commercial contracts and agreements. β€’ Assist in the development and implementation of company policies and procedures. β€’ Support mergers, acquisitions, joint ventures, and other corporate transactions. β€’ Conduct legal research and prepare opinions related to business operations. β€’ Ensure the organization is compliant with federal, state, and local regulations. β€’ Work cross-functionally with executive, finance, HR, and operations teams. β€’ Advise on risk management and help mitigate legal exposure. β€’ Represent the company in legal proceedings when necessary. Qualifications β€’ Juris Doctor (JD) degree from an accredited U.S. law school. β€’ Active license to practice law in at least one U.S. state (in good standing). β€’ Minimum of 3–5 years of experience in corporate or commercial law; in-house experience is a plus. β€’ Strong understanding of U.S. corporate governance, contract law, and regulatory frameworks. β€’ Exceptional drafting, negotiation, and problem-solving skills. β€’ Ability to manage multiple projects independently in a remote environment. β€’ Excellent written and verbal communication skills. β€’ High level of professionalism, integrity, and confidentiality. Preferred Skills β€’ Experience with startups, tech companies, or multinational organizations. β€’ Familiarity with employment law, intellectual property, and data privacy regulations. β€’ Ability to support fast-paced, high-growth environments.
