The Counsel, Commercial Transaction and Litigation will be responsible for negotiating commercial contracts, overseeing litigation matters, and providing general legal advice to support the company's growth and operations.
- Responsibilities
- Serve as a legal advisor to TerrAscend and its management team advising on all aspects of the company’s day-to-day commercial operations
- Negotiate and draft a variety of complex commercial agreements, including partnerships, joint ventures, licensing, supply, service, and more
- Advise on a broad range of legal issues impacting the company, including M&A, commercial agreements, intellectual property, employment law and data privacy
- Assist in complex M&A transactions and associated diligence and integration
- Serve as the primary legal counsel overseeing commercial disputes and litigation, managing assigned matters from inception to conclusion, including budget management, outside counsel management, and management of internal processes such as legal holds and document collection
- Provide practical and proactive advice on employment law matters, including union matters, union negotiations, and the hiring, performance management, employee discipline, leaves of absence, and terminations
- Work collaboratively with our securities team on filings and other public company requirements
- Proactively identify, assess, and manage legal risks associated with the company’s business activities
- Advise on all intellectual property matters related to the company
- Advise on marketing compliance across the company
- Assist with the development and implementation of policies and procedures designed to ensure compliance with applicable laws and regulations including overseeing the company’s growing AI and contract management workflow and repository
- Stay abreast of legal developments that could impact the company’s business generally, and proactively recommend changes to company policies and procedures, driving training initiatives as needed
- Proactively identify, assess, and manage legal risks associated with the company’s business activities
- Other duties as assigned
- Skills
- Juris Doctorate (J.D.) and active licensure in at least one United States territory for 3-5 years
- Highly motivated with an independent working style with ability to prioritize
- Excellent communication skills, both written and verbal, to facilitate clear communication between all levels of the company and state regulatory agencies
- Process-minded with close attention to detail, an eye for continuous improvement and strong legal writing skills
- Capable of handling confidential information discreetly and professionally
- Strong initiative with proven ability to solve complex problems
- Ability to adapt to changing demands and priorities
- Ability to manage multiple projects at one time
- 1-3 years of experience working within a corporate legal department in a regulated industry preferred but not required
- Prior in-house and litigation experience preferred but not required
- Familiarity with working on publicly traded company matters
- Familiarity with SEC filings and reporting requirements
- Familiarity with the Sarbanes-Oxley Act
