Job Description
I am seeking a legal professional or an expert contract specialist with deep knowledge of Arizona real estate law to draft a comprehensive, "lawsuit-proof" wholesale purchase agreement and assignment contract.
The primary goal is to ensure full compliance with A.R.S. ยง 44-5101 regarding wholesale disclosures while providing maximum liability protection for my investment LLC.
Key Requirements & Deliverables
Statutory Compliance: The contract must explicitly include the mandatory written disclosures required by Arizona law for both wholesale buyers and wholesale sellers. It must clearly state the nature of equitable interest and the potential inability to convey title as per A.R.S. ยง 44-5101(A).
LLC Indemnification: Draft robust "hold harmless" and indemnification clauses to protect my LLC from litigation arising from seller disputes or end-buyer defaults.
Contingency Clauses: Include clear language regarding earnest money, inspection periods, and the right to cancel without penalty if disclosure requirements are met.
Assignment Language: A separate, ironclad Assignment of Contract agreement that ensures the end-buyer assumes all risks and obligations.
Arizona Specifics: Ensure all language aligns with the Arizona Association of Realtors (AAR) standards where applicable, while remaining a proprietary, investor-friendly document.
Qualifications
Proven experience drafting real estate contracts specifically for the Arizona market.
Thorough understanding of the 2022/2023 legislative updates regarding wholesaling in AZ.
Experience in asset protection and LLC liability shielding.
