We are a Delaware C-Corp (incorporated via Stripe Atlas) seeking a U.S.-licensed startup attorney for a focused 1-hour consultation regarding a former co-founder/CTO who has: Resigned unexpectedly from all roles Transferred some IP/code, but is refusing live handover or access to infrastructure Left before any shares vested (RSPA tied to IP consideration) Assigned shares via “Stock Assignment Separate from Certificate” We need clarity on: Enforcing IP assignment and delivery obligations under the CIIAA Whether we can compel participation in a live handover call Repurchasing unvested shares (for $0, as no cash was paid) Removing the founder from Stripe Atlas and the company cap table Timeline and process for formalizing resignation and equity cleanup Whether and when to take further legal action (injunctive relief, damages) Deliverable is a 1-hour Zoom or bolthires Meet consultation (this week), with quick email follow-up.
