Government Contracts/IP Attorney – Federal Government * Remote * 6 Month+ Contract

We are seeking an experienced Attorney with expertise in Government Contracts, Licensing, Commercial Contracts, and Intellectual Property to support the Contracts Division of a prominent government agency. This is a 6-month contract assignment.

The ideal candidate will possess a minimum of 2 years of experience in government or commercial contracts, strong academic credentials, and at least 6 months of experience in government contracts and/or intellectual property. Experience drafting a wide variety of agreements to support projects and programs is required.

Types of agreements include, but are not limited to: Contributor and Publishing Agreements, Filming and

Licensing Agreements, Purchase Order Agreements, Contract Amendments/Modifications, Exhibition Agreements, Curatorial and Personal Services Agreements, Software as a Service Agreements, Terms of Service Agreements, Master Services Agreements.

Must be able to commit for at least 6 months.

    Duties include:
  • Reviews, drafts, and negotiates contracts; issues solicitations; administers contracts; manages contract terminations; and performs other related functions. Plans and oversees business contracts and related agreements.
  • Experience working with intellectual property contracts and agreements, with particular emphasis on licensing (including image licensing, product development licensing, and similar areas) and publishing.
  • Knowledge of copyright and trademark law principles, as well as licensing practices
  • Skill in planning, negotiating, and administering federal and/or commercial contracts
  • Knowledge of contract administration procedures, including change orders, contract terminations, and relevant precedents sufficient to evaluate contractor claims, resolve disputes, and negotiate settlement agreements
  • Strong written and oral communication skills (e.g., drafting contracts, agreements, and reports)

The following additional experience is desired, but not mandatory:

Experience in planning, drafting, negotiating, and administering contracts for web design and development, software licenses, mobile application and website development, and/or providing legal advice regarding IT systems.

Experience drafting and/or negotiating terms of use, licenses, and other agreements related to social media platforms.

Knowledge of data protection and privacy laws and their application, as well as experience with commercial transactions involving the storage or processing of personally identifiable information or sensitive data.

Education: JD required

Start date: Within 3-4 weeks, must be able to pass a background check

Length of assignment: 6 months with potential extension

Hours: 8:30-5pm, Monday through Friday. 40 hours per week, no overtime.

Location: Remote

Bar: Any state bar

Pay rate: $40/hour
