Job Description

We are preparing a Nasdaq listing and are seeking an experienced U.S. securities attorney or capital markets consultant to assist with drafting and corporate governance matters related to an S-1 registration statement.

Scope of work includes:

  • Review and improvement of S-1 draft sections
  • Assistance preparing disclosure sections (risk factors, business overview, related party transactions, executive compensation)
  • Support with corporate governance documents required for a public listing (committee charters, policies, etc.)
  • Assistance organizing Nasdaq listing readiness checklist
  • Drafting support for investor subscription documents if needed

Requirements:

  • Experience with SEC filings (S-1, S-3, 10-K, or similar)
  • Familiarity with Nasdaq listing requirements
  • Background at a securities law firm or public company preferred

This role is advisory and drafting support only. Formal securities counsel will be engaged for the final filing.

We are looking for someone who can work efficiently and communicate clearly as we prepare for listing.
