Job Description
About the Role
We're looking for a practical legal professional familiarity with US/state law and hubspot to own Tassel's contract review and redlining process end-to-end. This is a hands-on role, you'll be the primary person responsible for reviewing, negotiating, and turning around customer and vendor contracts, and for partnering with internal teams to resolve compliance questions that come up during the contracting process. You won't just flag issues, you'll drive them to resolution.
Contract Review & Redlining
- Review and redline customer contracts including MSAs, addenda, data privacy riders, and terms and conditions, with a focus on protecting Tassel's interests while enabling deal closure
- Flag material risk areas, insurance requirements, indemnification, audit rights, liability caps, data security obligations — and recommend positions
- Negotiate contract language directly with counterparties or work through internal stakeholders as appropriate
- Maintain a standard fallback position library for commonly negotiated clauses
Internal Compliance Coordination
- Identify provisions in contracts that require internal confirmation, things like security standards, SOC 2 compliance, encryption requirements, background check obligations and route them to the right internal owner
- Follow through until each open item is resolved before the contract is executed, not just flagged
- Maintain a tracker of open legal and compliance items across active contracts
Contract Operations
- Manage the full contract lifecycle from initial receipt through execution and storage
- Build and maintain contract templates, playbooks, and standard language for recurring contract types
- Support vendor contract reviews including SaaS agreements, service contracts, and NDAs
Cross-Functional Support
- Work closely with Sales, Operations, Finance, and Engineering to resolve legal questions that arise during the deal or procurement process
- Advise on data privacy considerations, particularly around FERPA, HIPAA, and state-level student data laws applicable to Tassel's institutional customers
- Escalate to outside counsel when appropriate and manage those relationships
What Success Looks Like
Contracts move faster, fewer deals stall on legal, internal teams have clear answers to compliance questions, and Tassel's contract positions are consistent, documented, and defensible. You'll be a trusted partner, not a bottleneck.
