The Vision: I am establishing a private family investment vehicle (Holding Co) focused on the long-term acquisition of essential service businesses. Our objective is to build a portfolio of high-quality, cash-flowing assets where I serve as Acting Chairman. I am seeking an experienced M&A Advisor to act as my "Deal Lead."

Your role is to identify and execute acquisitions that fit our family’s investment thesis: businesses that are operationally mature, highly profitable, and capable of being managed via a Direct Reporting structure (GM-to-Chairman).

The Investment Thesis: We are looking for "Legacy Assets"—well-oiled machines that we can hold for decades. The search must be focused on: Governance Model: We only acquire businesses with established Tier 2 Leadership. Post-acquisition, the General Managers will report directly to me as Chairman for weekly strategic reviews and KPI tracking. Portfolio Profile: $1M – $2M purchase price, $300k+ SDE, and "bolthires-Neutral" industries (e.g., HVAC, Niche Manufacturing, or B2B Services). Operational Maturity: We are not looking for turnarounds; we are looking for businesses with institutional-ready systems and documented SOPs.

Your Role as Deal Lead: Strategic Sourcing: Represent our family vehicle to brokers and sellers as an institutional buyer. Rigorous Vetting: Filter deals not just on profit, but on "Management Strength." You must vet the GM's capability to report to an off-site Chairman. Financial Architecture: Build LBO models that account for the bolthires of a high-caliber GM while maintaining strong debt-service coverage. Transaction Management: Lead the LOI, Due Diligence, and SBA 7(a) financing process. Candidate Requirements: Background in Family Office Advisory, Private Equity, or Investment Banking.

Experience with "Long-Hold" or Holding Company investment strategies. Elite communication skills—you are building the reputation of our family’s investment vehicle. Compensation Structure: We are looking for a performance-aligned partnership and are open to quotes including: Retainer/Hourly: A monthly work fee or hourly rate to cover sourcing and diligence activities. Success Fee: A performance-based bonus (Lehman-style or flat percentage) payable upon the successful closing of an acquisition. Credits: Please specify if your monthly fees are credited toward the final success fee.
