Note: The job is a remote job and is open to candidates in USA. Ecoplexus Inc. is a leading renewables developer focused on utility-scale solar and energy storage projects. They are seeking a practical, solutions-oriented U.S. Real Estate Counsel to manage the company's real estate legal function, handling land, title, and project-site matters in support of development projects across the United States. Responsibilities • Lead legal support for acquisition, disposition, leasing, and site control arrangements • Draft contract language, review, interpret, and negotiate site control agreements, including options to lease, ground leases, purchase and sale agreements, easements, surface waivers, and various other real property agreements • Oversee title and survey review, in coordination with the Senior Real Estate Paralegal, including identifying curative requirements and coordinating with title companies • Manage title objection process, endorsements, and closing deliverable, in coordination with the Senior Real Estate Paralegal • Support project financings from a real estate diligence perspective • Identify and resolve mineral and title issues, and access rights needed for project development • Support project closings and ensure land rights are bankable for financing and sale • Advise development teams on site control strategy and risk allocation • Avoid, manage, and resolve disputes with landowners, in coordination with the land team • Manage outside counsel and staff as needed • On an as-needed basis, the Real Estate & Development Counsel may assist the legal team with various legal development matters, including: • Draft, review, interpret, and negotiate development agreements, including land, interconnection, permitting and title agreements • Draft, review, and negotiate consulting services agreements, master services agreements, and other general corporate legal agreements Skills • J.D. from an accredited law school and active U.S. bar admission • 3+ years of experience in U.S. Real Estate Law • Experience drafting and negotiating U.S. real estate agreements • Experience in land and mineral title review, risk identification and risk resolution • Exceptional commercial drafting and negotiation skills • Practical, business-oriented approach to risk assessment and problem-solving • Strong work ethic and ability to self-start • Strong project, process, and organizational skills • Ability to manage multiple projects simultaneously • Ability to work collaboratively and effectively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed • Excellent written and verbal communication skills • Experience supporting infrastructure, energy, or large-scale development projects • Direct renewable energy experience is preferred but not required.
