Seeking California Attorney to Guide Hiring of In-House Counsel

Job Description

We are an established nonprofit organization based in California, already up and running, and we're looking to expand our team by hiring in-house counsel. We seek a knowledgeable and experienced attorney licensed with the California State Bar to provide expert guidance on the next steps for compliantly integrating in-house attorneys into our structure. Our organization collaborates closely with external law firms, and we need advice on ensuring all arrangements align with State Bar regulations while maintaining our nonprofit status.

Key Areas of Advice Needed: -Best practices and legal requirements for hiring in-house counsel within a California nonprofit, including employment structures (e.g., full-time employees vs. contractors). -Compliance with California State Bar rules on attorney employment, fee-sharing, ownership restrictions, and ethical guidelines for in-house roles. -Guidance on payroll and compensation options, ensuring payments can be handled through our nonprofit entity without violating bar regulations. -Recommendations for drafting employment agreements, integrating with existing collaborations with external law firms, and any necessary organizational adjustments.

Requirements: Expertise in California business law, employment law, nonprofit law, and State Bar compliance. Deep familiarity with California regulations governing attorney hiring, in-house counsel roles, and restrictions on non-lawyer ownership or control of legal practices. Ability to review or draft compliant agreements for in-house counsel positions. Deliverables: A comprehensive overview of the legal steps required to hire in-house counsel under California law for our nonprofit. Tailored recommendations on the most compliant and efficient approach, including any potential restructuring or filings needed.

Qualifications: Active license with the California State Bar. Proven experience advising nonprofits, small organizations, or law firms on compliance and hiring matters.
