Job Description RPB Law is a boutique law firm specializing in Intellectual Property, Corporate, and Entertainment Law and seeks a full-time Corporate, Intellectual Property & Entertainment Paralegal to join its virtual practice. The ideal candidate possesses strong organizational skills, exceptional attention to detail, and demonstrated experience supporting attorneys across IP (trademarks & copyrights), corporate law (contracts, governance & M&A), and entertainment transactions. I. INTELLECTUAL PROPERTY (TRADEMARKS & COPYRIGHTS) β€’ Prepare and file U.S.

trademark applications, Statements of Use, Office Action responses (substantive and non-substantive), renewals, and maintenance filings. β€’ Conduct knockout and comprehensive trademark searches; prepare written summaries identifying potential conflicts and opinion letters. β€’ Manage communication with clients, the USPTO, examining attorneys, and foreign associates. β€’ Maintain and organize U.S. and international trademark portfolios, including docketing and monitoring all deadlines. β€’ Prepare and file copyright applications with the U.S.

Copyright Office. β€’ Conduct preliminary copyright research, title searches, and ownership verification. II. CORPORATE LAW (CONTRACTS & M&A) Corporate Governance & Entity Management β€’ Form and maintain entities (LLCs, corporations, nonprofits, partnerships) in multiple jurisdictions. β€’ Draft and prepare: o Operating agreements o Bylaws o Corporate resolutions and written consents o EIN filings β€’ Prepare annual reports, amendments, conversions, foreign qualifications, and state compliance filings. β€’ Maintain corporate records, cap tables, and governance databases.

Commercial & Corporate Contract Support β€’ Draft, review, and revise commercial agreements under attorney supervision, including: o NDAs o Licensing agreements o Assignment agreements o Service agreements o Consulting agreements o Independent contractor agreements o Vendor agreements β€’ Prepare redlines, summaries, and issue-spotting memos. β€’ Maintain organized contract logs, signature packets, version histories, and executed document archives. Mergers & Acquisitions (M&A) β€’ Assist with all phases of M&A transactions, including: o Virtual data room creation and management o Corporate, IP, and operational due diligence o Preparation of diligence summaries, charts, and issue/risk flags β€’ Draft and prepare ancillary transaction documents such as: o Asset Purchase Agreements o Stock or Membership Interest Purchase Agreements o Assignment and Assumption Agreements o Bills of Sale o Closing certificates and officer certificates β€’ Coordinate execution of closing checklists, signature packets, and post-closing deliverables.

β€’ Assist with assembling closing binders and preparing transaction summaries. III. ENTERTAINMENT LAW (CONTRACTS) Entertainment Contracts & Talent Agreements β€’ Draft, review, and revise entertainment-related agreements, including: o Talent agreements o Producer agreements o Appearance releases o Influencer and brand-partnership agreements o Sponsorship agreements o Licensing agreements o Songwriter agreements o Recording agreements o Deal memos and term sheets QUALIFICATIONS β€’ Bachelor’s degree or Paralegal Certificate required.

β€’ Minimum 2–5 years of experience in IP, corporate, or entertainment law (hybrid experience strongly preferred). β€’ Strong working knowledge of USPTO systems and U.S. Copyright Office procedures. β€’ Experience drafting and reviewing commercial, corporate, and entertainment agreements. β€’ Experience supporting M&A transactions, due diligence, and corporate governance. β€’ Experience using Lawmatics or similar legal CRM platforms. β€’ Ability to proactively streamline workflows, improve operations, and implement efficient systems.

β€’ Exceptional organizational, writing, analytical, and deadline-management skills. β€’ Ability to manage multiple matters simultaneously in a fast-paced virtual environment. β€’ Strong communication skills and ability to work independently with minimal supervision.
